1. Agreement to Terms

These Terms and Conditions form a binding agreement between Selliro and every user who accesses, registers on, lists products on, purchases through, or otherwise uses the platform. By creating an account or using Selliro, the user accepts these Terms and agrees to comply with all platform rules, operational policies, payment rules, and enforcement actions described in this document.

2. Platform Overview

Selliro is a wholesale multi-vendor marketplace platform that facilitates B2B and B2C transactions between independent sellers and buyers. Selliro functions as a marketplace facilitator and technology platform, and does not become the manufacturer, owner, distributor, reseller, consignor, shipping partner, or after-sales service provider for listed goods unless expressly stated otherwise.

3. User Accounts & Verification

Users must be legally capable of entering into binding contracts and must provide accurate and complete information at the time of registration. Seller accounts may be restricted to businesses, proprietors, partnerships, or entities that can provide lawful business proof and comply with applicable tax and commercial requirements.

  • Seller Verification (KYC): Sellers must complete KYC and submit valid business proof to obtain or maintain seller status on Selliro. Sellers with GST registration may be required to provide GST-related documents, while sellers without GST must provide alternate government-recognized business proof such as MSME registration or equivalent documents acceptable to Selliro.
  • Additional Documents: Selliro may request PAN, address proof, identity proof, bank details, business certificates, and any other verification documents reasonably required for compliance, fraud prevention, settlement processing, or marketplace integrity.
  • Account Security: Users are responsible for maintaining the confidentiality of account credentials, passwords, OTP access, device access, and login activity. Any use of an account shall be deemed authorized by the registered user unless promptly reported to Selliro as unauthorized.

4. Marketplace Rules & Communication

  • Platform-Only Communication: All enquiries, responses, quotations, commercial discussions, and transaction-related communication initiated through Selliro should be conducted within the platform or through approved platform channels. This helps protect transaction records, reduce fraud risk, and maintain operational traceability.
  • Lead Leakage Policy: Users shall not use the platform to bypass Selliro fees, commission, or monitoring by sharing personal contact numbers, email addresses, external links, payment instructions, social media handles, or any other details for the purpose of taking transactions offline. Any attempt to divert business away from the platform may result in warning, lead restriction, payout hold, commission recovery, account suspension, or permanent removal.
  • Buyer Anonymity: Selliro may limit, mask, or control the extent to which buyer contact information is shared with sellers until a transaction reaches the appropriate stage. Buyer details may be disclosed when reasonably required for order fulfillment, shipping coordination, invoicing, compliance, or other legitimate transaction purposes.

5. Listings & Seller Obligations

Sellers are solely responsible for product images, videos, titles, specifications, pricing, quantity, quality, condition, shipping terms, legal compliance, and all listing content published through Selliro. Listings must be accurate, current, complete, lawful, and not misleading.

Incorrect products, false products, manipulated images, counterfeit goods, misdescribed specifications, or deceptive listings may lead to content removal, severe fines, payout deductions, account suspension, permanent termination, or legal escalation.

  • Pricing Types: Selliro may allow different pricing formats, including fixed pricing, negotiable pricing, and quote-based pricing. Sellers are responsible for clearly selecting and maintaining the correct pricing type and for ensuring that quoted or displayed prices are genuine, current, and commercially intended.
  • Intellectual Property: Sellers retain responsibility for ensuring that uploaded product images, videos, brand names, descriptions, logos, and other listing materials do not infringe the intellectual property rights of third parties. By uploading content to Selliro, the seller grants Selliro a non-exclusive right to display, host, reproduce, optimize, and use such content for marketplace operation, listing promotion, and platform marketing.

6. Enquiries, Quotations & Orders

  • Enquiry Process: Buyers may express interest in products through enquiries, requests for quotation, cart actions, or other platform mechanisms. Sellers are responsible for responding accurately and promptly to commercial enquiries.
  • Binding Quotations: A seller quote, once accepted by a buyer and converted into a confirmed order through the platform workflow, may be treated as commercially binding subject to stock availability, payment confirmation, fraud review, and any other conditions clearly stated in the quote or order terms.
  • Minimum Order Quantity (MOQ): Where a seller defines a minimum order quantity, buyers must comply with that MOQ unless the seller explicitly agrees otherwise through the platform.

7. Payment, Fees & Payouts

  • Payment Processing: Selliro may use third-party payment processors or gateways to collect and process buyer payments. Payment processing services may include gateway partners such as Razorpay or equivalent providers, and the use of such services may be subject to the additional terms of those payment partners.
  • Selliro Commission: Selliro is entitled to deduct commission, platform fees, subscription charges, gateway fees, taxes, refund adjustments, dispute deductions, penalties, promotional charges, and any other applicable fees from transaction proceeds or seller balances before settlement.
  • Seller Payout Schedule: Selliro reserves the right to hold buyer payments in escrow or under a controlled settlement mechanism and to release funds according to platform risk and payout rules. Where the buyer pays the full order amount, Selliro may release 30% of the eligible order value as an initial payout after acceptable dispatch confirmation and may release the remaining 70% after delivery confirmation, buyer receipt confirmation, expiry of any inspection period, and clearance of disputes, fraud checks, and payment risks.

Selliro may hold, split, reverse, delay, or deny payout where there is suspected fraud, return risk, chargeback risk, policy breach, false listing conduct, incomplete documentation, or transaction irregularity.

8. Shipping & Fulfilment

  • Dispatch Timeline: Sellers are solely responsible for dispatching products within the promised lead time and for entering correct shipping information, dispatch details, courier references, and AWB or tracking information where applicable. Failure to dispatch on time or provide accurate shipment details may result in penalties, payout delay, listing restriction, or account action.
  • Delivery Confirmation: Buyer acknowledgment of delivery, delivery proof, courier confirmation, or equivalent order completion evidence may be used by Selliro to determine whether final payout conditions have been met.

9. Cancellations, Returns & Refunds

  • Cancellation Policy: Cancellation requests may be treated differently depending on whether the order is pending, confirmed, packed, dispatched, delivered, disputed, or under review. Selliro may allow or reject cancellation requests based on operational stage, seller fault, buyer fault, payment status, policy compliance, and transaction evidence.
  • Return Grounds: Returns or refund claims may be considered where goods are materially damaged, not as described, materially incorrect, or otherwise supported by valid evidence. Sellers remain primarily responsible for product issues, returns handling, replacements, customer support, and transaction resolution.

Fake refund requests, dishonest buyer claims, unsupported allegations, and abuse of the dispute process will not be accepted and may result in buyer blocking, claim rejection, fund hold, or further action against the user.

10. Prohibited Conduct

Users must not engage in:

  • Scraping, automated extraction, bot activity, or fake lead generation.
  • Harassment, spam, false claims, or misleading enquiries.
  • Payment fraud, fake listings, counterfeit sales, or review manipulation.
  • Unauthorized access attempts or any activity that harms platform integrity.

Attempts to take transactions offline, evade platform commission, conceal sales, route payments outside approved systems, or use Selliro only as a lead source are strictly prohibited. Selliro may impose severe penalties, suspend accounts, hold payouts, block users, and recover losses caused by circumvention attempts.

11. Limitation of Liability & Termination

Selliro does not warrant product quality, merchantability, legality, suitability, seller performance, buyer conduct, uninterrupted service, or transaction success. Product fulfillment, packaging, delivery, customer handling, warranties, and after-sales obligations remain with the seller unless expressly assumed by Selliro in writing.

Selliro may suspend, restrict, or permanently terminate any account for policy violations, fraud risk, inaccurate KYC, false products, fake refund activity, abusive conduct, payment irregularities, lead leakage, repeated disputes, or any conduct harmful to platform trust or operations. If a seller account is suspended or terminated for policy violation, monthly subscription fees and additional payments already made will not be refunded unless mandatory law requires otherwise.

12. Seller Responsibilities Toward Customers

All processes with customers, including enquiry response, negotiation, order clarification, packaging, invoicing, dispatch coordination, delivery follow-up, replacement handling, complaint response, and post-sale communication, must be handled by the seller directly. Selliro does not assume customer care responsibility for seller-side obligations and shall not be liable for seller service failures.

13. Bank Details, Privacy & Transaction Security

Selliro may collect seller bank account information only for KYC, verification, settlement, payout processing, refund handling, compliance review, and lawful operational purposes. Selliro will use reasonable measures to keep submitted financial and identity data private and secure, but users remain responsible for ensuring that the provided bank details are accurate, current, and belong to an authorized account holder.

14. Buyer Conduct and Enforcement

Buyers must place genuine enquiries and orders and must provide true identity, address, payment, and delivery information. Fake buyers, fraudulent users, users who misuse the platform, and users making fake refund requests or malicious claims may be blocked from the site, denied refunds, reported where appropriate, and subjected to severe action by Selliro.

15. Modification of Terms

Selliro may update these Terms and Conditions, fees, subscription policies, payout rules, escrow rules, enforcement standards, or marketplace processes at any time by posting the revised terms on the platform. Continued use of Selliro after an update constitutes acceptance of the revised terms.

16. Severability and Survival

If any provision of these Terms is held unenforceable, the remainder shall remain in effect to the fullest extent permitted by law. Provisions relating to fees, commissions, escrow, indemnity, data handling, fraud control, suspension, and liability limitation shall survive suspension or termination where applicable.
